Terms and Conditions
Effective from: July 2025
1. Acceptance of Terms
By accessing or using ZiLync's services ("Service"), you agree to these binding Terms of Service.
If using the Service on behalf of an organization, you represent full authority to bind that entity.
These Terms govern all subscriptions, module access, and platform usage.
2. Service Access & Licensing
ZiLync grants you a limited, non-exclusive license to use the Service according to your purchased modules and user count.
You may not: reverse engineer the Service, use it for competitive analysis, or resell access.
All rights not expressly granted are reserved by ZiLync.
3. Module-Based Subscription
Our platform operates on a modular pricing system:
- Each functional module (CRM, ERP, Projects, etc.) is priced separately
- You only pay for the modules you activate
- Module prices and features are specified in your Order Form
- Additional modules can be added mid-term at prorated costs
4. User-Based Licensing
Pricing tiers are based on active users:
- Each module has its own user pricing structure
- User counts are verified monthly
- Exceeding licensed users triggers automatic billing at current rates
- Unused user slots don't roll over to next billing period
5. Payment Terms
All fees are non-refundable except as required by law. Payment obligations:
- Invoices issued monthly/annually per your plan
- Net 15 payment terms from invoice date
- Late payments incur 1.5% monthly interest
- Service suspension after 15 days of non-payment
- All fees exclude taxes, which are your responsibility
6. Implementation & Support
Included with all paid plans:
- Initial onboarding session
- Standard business hours support
- Documentation and knowledge base access
Available at additional cost:
- 24/7 priority support
- Dedicated account manager
- Custom implementation services
7. Data Ownership & Privacy
You retain all rights to your business data. We only process it to provide the Service.
ZiLync may use aggregated, anonymized data to improve our services.
Our Privacy Policy details how we handle personal data.
8. Confidentiality
Both parties agree to:
- Protect confidential information using reasonable care
- Only use such information for Service-related purposes
- Maintain confidentiality for 3 years post-termination
- Immediately notify of any unauthorized disclosure
9. Term & Termination
These Terms of Service remain in effect as long as you maintain an active subscription to Mise or continue to use any part of the Service.
**Termination by Either Party:**
- For **monthly subscriptions**, either party may terminate with at least **30 days’ written notice** prior to the next billing cycle.
- For **annual subscriptions**, either party may terminate with **60 days’ written notice** before the end of the current term.
**Termination by Mise:**
Mise reserves the right to suspend or terminate your access to the Service, with or without notice, under the following circumstances:
- If payment is not received within **15 days** of the invoice due date.
- If your account remains **unpaid for 2 consecutive billing cycles**, your access may be permanently terminated, and your data deleted after prior notice.
- If you breach any material obligation in these Terms and fail to resolve it within **15 days** of written notice.
- If you engage in fraudulent, abusive, or illegal use of the Service.
**Effects of Termination:**
- All access rights and licenses granted to you will immediately cease.
- Outstanding fees up to the termination date will remain due and payable.
- Upon written request, we may provide an export of your data in **Excel (.xlsx) format** for archival or migration purposes. This export is available for a **one-time processing fee** and must be requested within **30 days of termination**.
- After 30 days, your data may be permanently deleted from our servers unless otherwise required by law.
The following sections will survive termination: Confidentiality, Limitation of Liability, Dispute Resolution, and Data Protection.
10. Liability Limitations
To the maximum extent permitted by law:
- ZiLync isn't liable for indirect or consequential damages
- Total liability is capped at fees paid in preceding 12 months
- These limitations don't apply to: (a) death/personal injury, (b) fraud, or (c) intentional misconduct
11. General Provisions
- These Terms constitute the entire agreement
- Modifications require written agreement
- Governing law is [Jurisdiction]
- Notices must be in writing
- Failure to enforce any provision isn't a waiver
